Mutual Non-Disclosure Agreement, or NDA, is a form binding two parties to keep each other's business information confidential. This agreement is used when both parties involved in a negotiation are disclosing confidential information. If you have trade secrets, then you need to have something like this signed whenever you disclose confidential information to a third-party. This Nondisclosure and Nonuse Agreement (“Agreement”) is entered into by and between ABC Company Inc. a _______________________corporation with its principle place of business located at _______________________ (“ABC Company”) and Xyz company Inc., a _______________________corporation with its principal place of business located at_______________________, ____________ (“the Company”) as of the date set forth above the parties’ signatures (the “Effective Date”).
